We advise clients in a variety of debt and equity finance transactions, including private placements, securitizations and public offerings. We regularly provide legal advice to multinational clients involved in large to medium scale projects in Sri Lanka. Our expertise primarily covers the spheres of tourism & leisure, real estate, power & energy, infrastructure and education. Our firm assists foreign investors at every stage of their business activities in Sri Lanka, including corporate structuring, BOI approvals & regulatory compliance, financing and joint-venture agreements. Government Regulation
We work closely with several government agencies in formulating regulatory policies affecting private investors. Both public and private sector stakeholders consult us with regard to legal and regulatory reform projects, including proposed privatisations and disinvestments. The Firm is currently retained by the world’s largest payment processor and acts as its counsel and corporate secretaries to date advising on all aspects of corporate governance and regulatory matters. The Firm represented the client in the acquisition of payment processing from several leading banks as well as managing all negotiations, drawing up of transfer documents, and attending to the transfer. The Firm assisted the Client to set up a presence in Sri Lanka and managed the setting up of its presence in the Maldives.
The Firm recently conducted Due Diligence Investigations in Sri Lanka on behalf of a multinational giant who provides credit ratings, research, tools and analysis in global finance, in relation to a takeover of a Sri Lankan entity. The Firm advised the client on employment, tax and other related matters while also reviewing and advising the client pertaining to lease agreements, tax returns, and other regulatory matters.
The Firm represented an investor in the first privatization of a public utility in Sri Lanka – the Sri Lanka Telecom (SLT), and remained the client’s legal representative in Sri Lanka until its divestment of shares. The Firm advised the Client on all aspects of corporate governance, share structures, capital market restrictions, and employment restrictions and led most negotiations on legal issues; while assisting in structuring the bid and in drawing up all transfer related documentation.
The Firm represented a leading multinational soft drink producer in its investment in Sri Lanka and managed all aspects of the negotiation including the conducting of due diligence and attending to the preparation of all transfer documentation whilst advising and managing all banking matters related to the investment. The Firm remained the corporation’s legal counsel and also attended to its divestment from Sri Lanka ten years later.
The Firm was retained as Legal Counsel by a world leader in garment manufacturing, and it represented the client in several investments in Sri Lanka. The Firm carried out several due diligence exercises, negotiations and handled the drawing up of transfer documents while supervising and managing all aspects of the transaction.
The Firm was retained as legal Counsel for the Commonwealth Development Corporation on a multimillion dollar multilateral loan to a multinational and advised the client on investment and banking laws, securitization of assets and attended to all loan related documentation.
The Firm currently handles all intellectual property matters for the world’s leading premium drinks business. The Firm’s Intellectual property division handles all aspects of intellectual property related matters on behalf of its local and international clientele, including the registration of trademarks, patents, Industrial designs in Sri Lanka and facilitating the registration of same abroad, as well as advising its clients on all aspects of intellectual property.
The Firm possesses extensive experience in advising on and drafting employment contracts with local employers, foreign employers who wish to employ Sri Lankan citizens, and Sri Lankan employers who wish to employ foreign citizens in Sri Lanka.
